As a key member of the Corporate Legal team, the Corporate Counsel should be a bright, energetic, business-minded and self-motivated transactional attorney with 1-3 years of general corporate, commercial, and transactional experience, preferably in-house. In this position, the successful candidate will interface with business teams to execute on the organizationís strategic priorities. The position is based in at the corporate headquarters in Naples, Florida but may require travel as necessary in connection with duties. PRIMARY RESPONSIBILITIES

Preform legal research and prepare supporting memos as assigned. Prepare and maintain all regulatory filing including state, county and local business registrations. Review and prepare contracts involving leases, licenses, purchases, sales, employment, insurance, and varied legal matters. Provide legal advice with respect to corporate administration; prepare corporate resolutions and forms; anticipate and guard against legal risks involving the organization. Participate in legal actions of a sensitive, confidential and complex nature. Review and approve corporate communications from a legal standpoint. Study proposed and existing legislation related to operations of the company and advise affected department. Participate and represent organization in company related litigation. Perform due diligence reviews for acquisitions. GENERAL QUALIFICATIONS

J.D. degree from accredited institution. Member in good standing of at least one state bar. 1-3 years of law firm and/or in-house experience. Excellent oral and written communication skills. Excellent time management, communications, decision-making, presentation, human relations, and organizational skills. Demonstrated ability to plan, prioritize and organize multiple tasks simultaneously. Detail and results oriented with ability to work independently with minimal supervision as well as in group settings.
