Description: POPSUGAR is looking for a full-time, commercial transactions attorney to join the in-house legal team. A successful candidate will be responsible for supporting the evolving needs of a fast-paced and high growth business, bringing pragmatic solutions, best practices and strategies for managing legal risks. We are looking for a talented attorney with initiative and drive who can effectively partner with business teams and handle a high volume of varied and complex legal work. This position is based in POPSUGAR’s San Francisco office.


Review, draft and negotiate a wide variety of commercial contracts, including online advertising and agency agreements, insertion orders, data agreements, licensing agreements, production agreements, distribution agreements and terms of service. Advise sales, marketing, engineering, IT, business development, product, studio and editorial teams on intellectual property, licensing, data protection, privacy, digital advertising, clearance and other legal issues relevant to content creation and distribution by an online media company. Review, draft and negotiate co-marketing, partnership, event production and licensing agreements in connection with marketing and advertising campaigns; review materials for sweepstakes and contests. Advise human resources, finance and facilities teams on contract issues; draft and review consulting agreements, bonus compensation plans, and facilities-related services agreements. Support the legal team with ongoing and special initiatives, including IP portfolio management, compliance, litigation support, process improvement, template development, trainings for business teams and use of technologies to increase efficiencies.


Minimum of 5 years as a practicing attorney in a law firm or in-house legal department. Law degree from top tier law school with strong academic performance; admitted to practice and active member of a state bar, preferably California. Exceptionally strong written and oral communication skills with the ability to tailor communication style to diverse audiences. Skills and Experience

The ideal candidate is:

a self-starter proficient in drafting, reviewing, and negotiating commercial contracts; knowledgeable of legal and regulatory issues relating to online media, social media, and/or digital advertising (including FTC guidelines and IAB standards); an excellent project manager with strong organizational skills; able to make sound legal decisions under tight deadlines and to evaluate risks in light of business concerns; an efficient and creative problem-solver who is mindful of business objectives and communication styles; and a collaborator who adopts a team-oriented approach to projects when suitable, and maintains an energetic and positive attitude.
