Organization Objective/Purpose:
We are seeking a senior attorney to join the OCC legal group to assist in providing transactional and advisory legal support to various business units that participate in the capital markets as an underwriter or selling group member to enable our clients to obtain access to third-party securitized investment products (e.g., fixed income, structured products, equity IPOs and CDs).
Brief Description of Role:
The attorney position will be responsible for:
Providing legal review of underwriting, syndicate, selling group and other distribution agreements
Providing legal advice relating to the structuring, management and distribution of third party investment securitized products.
Counseling on securities compliance, specific transactions and ongoing operations
Technical/Functional Qualifications:
- J.D. and Bar Membership in good standing.
- Knowledge of fixed income products.
- 3-5 years+ experience with in-house experience covering fixed income or equity capital markets with a large-to-mid-size investment bank or similar experience at a national or large regional law firm.
- Subject matter expertise on the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Knowledge of retail structured products or other registered shelf-offering legal experience preferred, though not a pre-requisite.
- Ability to identify risks and manage outside counsel.
- Ability to explain complex legal issues to senior business leaders.
- The candidate must be able to work collaboratively as part of a team and must have strong oral and written communication skills.
- The candidate must be comfortable working in a trading desk environment.
- Good interpersonal skills are critical given extensive interaction with wholesalers, traders, salespersons, outside counsel and legal and compliance colleagues.
